1. Who we are and what these terms cover
This website, soprahealth.com, including any subdomains (the “Site”), is operated by Sopra Health Comms, LLC (“Sopra Health,” “we,” “us,” or “our”). Our legal entity details and mailing addresses are listed on our Corporate information page.
By accessing or using the Site, you agree to these Terms and Conditions (the “Terms”) and to our Privacy Notice, which is incorporated by reference. If you don’t agree, please don’t use the Site.
These Terms govern your use of the Site only. Any marketing, communications, or consulting services we provide to a client are governed by a separate written agreement between Sopra Health and that client. Nothing on the Site creates a services agreement, and if there’s a conflict between these Terms and a signed client agreement, the client agreement controls for the services it covers.
If you’re using the Site on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms, and “you” includes the organization.
2. Changes to these terms
We may update these Terms from time to time. When we do, we’ll change the “Last updated” date at the top of this page. Changes take effect when posted. If you keep using the Site after a change, you accept the updated Terms. We encourage you to check this page occasionally, especially before sending us information through the Site.
3. Using the site
You may use the Site for lawful purposes to learn about Sopra Health, read our published content, and contact us. We grant you a limited, non-exclusive, non-transferable, revocable permission to view the Site and to print or save individual pages for your own personal or internal business reference, provided you keep all copyright and other proprietary notices intact.
You agree not to:
- Use the Site in any way that violates applicable law or regulation, or that infringes anyone’s rights.
- Copy, reproduce, republish, distribute, sell, or create derivative works from Site content, except as expressly allowed in these Terms.
- Use automated tools (bots, scrapers, crawlers, or similar) to access or extract data from the Site, other than search engines and similar services indexing the Site for public search results under standard practices, such as robots.txt.
- Use Site content, in whole or in part, to train, fine-tune, or evaluate machine learning or artificial intelligence models without our prior written consent.
- Attempt to gain unauthorized access to the Site, the server it’s hosted on, or any connected system, or to probe, scan, or test the vulnerability of the Site.
- Interfere with the Site’s operation, including by introducing malware, overloading our systems, or attempting to bypass any security or access-control measures.
- Frame or mirror any part of the Site, or remove or alter any copyright, trademark, or other proprietary notice.
- Send unsolicited commercial messages, phishing attempts, or abusive content through our contact form or listed email addresses.
- Impersonate any person or organization, or misrepresent your affiliation, when contacting us.
We may suspend, restrict, or block access to the Site at any time, with or without notice, including for conduct we believe violates these Terms.
4. Our content is general information, not professional advice
The Site includes essays, articles, guides, descriptions of our work, and other content about healthcare marketing and communications. We publish it for general information and discussion. It’s not medical, clinical, legal, regulatory, compliance, financial, or other professional advice, and it isn’t tailored to your organization or situation.
In particular:
- Nothing on the Site is medical advice. The Site is not intended to diagnose, treat, cure, or prevent any condition, and it shouldn’t be used as a substitute for advice from a qualified healthcare professional. If you have a health concern, talk to a clinician. If you think you have a medical emergency, call your local emergency number.
- Nothing on the Site is legal or regulatory advice. References to review processes, promotional rules, privacy, or other regulated topics reflect our general experience as marketers, not the advice of a lawyer or regulatory professional. Get advice from qualified counsel before relying on any of it.
- Examples and outcomes aren’t promises. Descriptions of past work, situations, or results are illustrative. They don’t guarantee that any similar outcome will occur for you.
Reading the Site, subscribing to our content, or contacting us does not make you a client of Sopra Health and does not create any advisory, fiduciary, or agency relationship. We become your marketing partner only when we both sign a written agreement.
5. Our content and trademarks
Unless otherwise noted, everything on the Site is owned by Sopra Health or our licensors and is protected by copyright, trademark, and other intellectual property laws. That includes text, essays, graphics, images, illustrations, page layouts, design, frameworks and process descriptions, code, and the selection and arrangement of all of it.
“Sopra Health,” “Sopra Health Comms,” our logo, and the names of our essay series and frameworks are trademarks or trade names of Sopra Health Comms, LLC, whether or not registered. Other product, company, and organization names on the Site belong to their respective owners, and their appearance doesn’t imply any affiliation with, or endorsement by or of, Sopra Health.
You may quote short excerpts of our published content for commentary, news reporting, teaching, or research, with clear attribution to Sopra Health and a link back to the source page. Any other use needs our written permission. Requests can go to info@soprahealth.com.
All rights not expressly granted in these Terms are reserved.
6. Contacting us through the site
The Site includes a contact form and lists email addresses so you can reach us. When you contact us, you agree to the following:
- Accurate information. The information you give us is accurate, and you have the right to share it.
- No patient information. Do not send protected health information, patient-identifiable information, or any other personal health data through the Site. The contact form and our general mailboxes aren’t designed for it, and we’ll delete it if we receive it.
- Confidential information comes after an NDA. We’re glad to sign a mutual non-disclosure agreement before you share anything sensitive, and we routinely work under client paper. Until an NDA is in place, please don’t send confidential business information, unreleased product details, claim substantiation, or similar material. Anything you send before an NDA is signed is treated as non-confidential, although we’ll still handle it as described in our Privacy Notice.
- Unsolicited ideas. If you send us suggestions, ideas, or feedback about our business, content, or the Site, you agree that we can use them without any obligation or compensation to you. Please don’t send us ideas you consider proprietary.
We try to respond to every genuine inquiry, but we don’t promise a response, a response time, or that we’ll take on any engagement.
7. Newsletter and social channels
Our email newsletter is published on Substack at soprahealth.substack.com. When you subscribe, Substack’s own terms of service and privacy policy apply to your subscription and to the data Substack collects, in addition to these Terms for any of our content you read there. You can unsubscribe at any time using the link in any email.
Our LinkedIn page and any other social channels we use are hosted by third parties and governed by those platforms’ terms. We don’t control those platforms and aren’t responsible for how they operate.
8. Careers and collaborator introductions
The Site invites experienced healthcare marketers to introduce themselves by email. Sending an introduction, resume, or work history doesn’t create an employment, contractor, or other relationship, and doesn’t obligate us to respond, interview, or engage you. Please don’t include confidential details of past client work in anything you send. We keep introductions on file as described in our Privacy Notice.
9. Images and examples on the site
Some of the photographic-style images on the Site are AI-generated illustrations. The people shown in those images are not real patients, clinicians, employees, or clients, and any resemblance to an actual person is coincidental. We use them to illustrate the settings our clients work in, not to depict specific individuals or events.
Where we describe client situations or work, we anonymize or generalize details unless we have permission to name the client. Any named client, partner, or organization is identified with their consent, and their inclusion is not an endorsement of Sopra Health unless expressly stated.
10. Privacy
Our Privacy Notice explains what information we collect through the Site, how we use it, and the choices you have. In short: we use contact form submissions to respond to you and to understand how visitors find us, we don’t sell personal information, and we don’t collect protected health information through the Site. By using the Site, you agree to the practices described in the Privacy Notice.
11. Links to other sites
The Site may link to third-party websites, publications, tools, or services. We provide those links for convenience and reference. We don’t control third-party sites, we haven’t reviewed all of their content, and we aren’t responsible for their accuracy, availability, privacy practices, or terms. A link is not an endorsement. Your use of any third-party site is at your own risk and subject to that site’s terms.
12. No accounts or user content
The Site doesn’t offer user accounts, logins, comments, forums, reviews, or any other way for visitors to publish content. The only information you can submit is through the contact form and by email, and that information is handled as described in Section 6 and in our Privacy Notice. If we add any of these features in the future, we’ll update these Terms first.
13. Disclaimer of warranties
The Site and everything on it are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Sopra Health disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.
We don’t warrant that the Site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Site or the server that hosts it is free of viruses or other harmful components; or that the content is accurate, complete, current, or reliable. We may change, suspend, or discontinue any part of the Site at any time without notice.
Some jurisdictions don’t allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, our warranties are limited to the minimum extent the law requires.
14. Limitation of liability
To the fullest extent permitted by law, Sopra Health Comms, LLC and its members, managers, officers, employees, contractors, collaborators, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, arising out of or related to the Site or these Terms, however caused and under any theory of liability, even if we’ve been advised of the possibility of those damages.
To the fullest extent permitted by law, our total liability to you for all claims arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars ($100).
These limits reflect the fact that the Site is provided free of charge for general information. They don’t limit liability that can’t be limited under applicable law, including liability for fraud, gross negligence, or willful misconduct where the law prohibits limiting it. If you live in a jurisdiction that doesn’t allow some of these limitations, they apply to you only to the extent the law permits.
15. Indemnification
You agree to defend, indemnify, and hold harmless Sopra Health Comms, LLC and its members, managers, officers, employees, contractors, collaborators, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or any third party’s rights in connection with the Site.
16. Governing law and disputes
These Terms, and any dispute arising out of or related to them or the Site, are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law principles.
Before starting any formal proceeding, you agree to contact us at info@soprahealth.com and give us thirty (30) days to try to resolve the issue informally. If we can’t, any legal action must be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts. We may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property.
To the extent permitted by law, each of us waives any right to a jury trial in any proceeding arising out of or related to these Terms or the Site, and any claim must be brought in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.
Any claim arising out of or related to the Site or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred, unless applicable law requires a longer period.
17. Copyright and trademark complaints
We respect the intellectual property of others and expect the same in return. If you believe that content on the Site infringes a copyright or trademark you own or control, email info@soprahealth.com with “IP Notice” in the subject line and include: a description of the work you believe has been infringed; the URL of the material on the Site; your name, organization, mailing address, and email; a statement that you believe in good faith the use isn’t authorized by the rights owner, its agent, or the law; a statement, under penalty of perjury, that the information in your notice is accurate and that you’re the rights owner or authorized to act for the owner; and your physical or electronic signature. We’ll review every complete notice promptly.
18. Accessibility
We build the Site to the WCAG 2.2 AA standard as our target. If you encounter a barrier, tell us at info@soprahealth.com and we’ll work to fix it. More detail is on our Corporate information page.
19. General terms
- Entire agreement. These Terms and the Privacy Notice are the entire agreement between you and Sopra Health about your use of the Site and replace any prior understandings on that subject. They don’t replace or modify any signed agreement between Sopra Health and a client.
- Severability. If any part of these Terms is found unenforceable, that part will be enforced to the maximum extent permitted and the rest will remain in full effect.
- No waiver. If we don’t enforce a provision of these Terms, that isn’t a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms or any rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
- No third-party beneficiaries. These Terms don’t create any rights for anyone other than you and Sopra Health, except that the people and entities we’ve said are protected by Sections 14 and 15 may enforce those sections.
- Electronic communications. By using the Site or emailing us, you agree that we may communicate with you electronically, and that electronic notices, agreements, and records satisfy any legal requirement that they be in writing.
- Force majeure. We’re not liable for any failure or delay caused by events outside our reasonable control, including hosting or network outages, third-party service failures, labor actions, natural disasters, or government actions.
- Age. The Site is intended for business professionals and isn’t directed to anyone under 18. If you’re under 18, please don’t submit any information through the Site.
- Headings. Section headings are for convenience and don’t affect interpretation.
